CoaCalm Terms of Service & End User License Agreement (EULA)

These Terms of Service and End User License Agreement (collectively, the "Terms") form a binding legal agreement between you ("you," "your," or "User") and Coacalm ("CoaCalm," "we," "us," or "our"), the provider of the CoaCalm mobile application and related content, features, and services (the "App" or the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE APP. By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not download, install, access, or use the App.

These Terms supplement, and are in addition to, Apple's standard Licensed Application End User License Agreement (LAEULA), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/, which applies to your use of the App as a baseline. To the extent of any conflict between these Terms and the Apple LAEULA regarding the matters specifically addressed by the Apple LAEULA, the Apple LAEULA governs; in all other respects, these Terms apply.


1. IMPORTANT HEALTH, MEDICAL & WELLNESS DISCLAIMER

Please read this section first. Your health and safety come first.

CoaCalm is a general wellness and educational applicationin the Health & Fitness category. It provides guided audio sessions and tools based on Emotional Freedom Techniques ("EFT" or "tapping") and related self-reflection exercises to support relaxation, stress reduction, and general emotional well-being.

Not medical advice. CoaCalm and its EFT/tapping content are provided for general wellness and educational purposes only. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or any medical, psychological, or mental-health condition, and are not a substitute for professional medical, psychological, or psychiatric advice, diagnosis, treatment, or care.

Not a medical device or healthcare provider. CoaCalm is not a medical device, healthcare provider, mental-health provider, or licensed therapist. EFT is a complementary practice. We make no representations, warranties, or assurances that the Services will provide any therapeutic or clinical benefit. Results vary from person to person and are not guaranteed.

Consult a professional. Always consult a qualified physician, therapist, or other licensed healthcare or mental-health professional before beginning, stopping, or changing any treatment, medication, or wellness practice, and with any questions you may have regarding a medical or mental-health condition. Never disregard professional advice, or delay seeking it, because of something you accessed in or through the App.

Your responsibility. You are solely responsible for evaluating whether any practice in the App is appropriate for you. If you feel unwell, experience discomfort, or feel emotionally overwhelmed at any time, stop and seek appropriate professional help.

In a crisis? This App is not for emergencies.

CoaCalm is a wellness tool and cannot provide crisis support. If you are in emotional distress, thinking about harming yourself or others, or facing a medical or mental-health emergency, please get help now:

  • United States: Call or text 988 (Suicide & Crisis Lifeline), or call 911.
  • Outside the United States: Contact your local emergency number, or find a helpline at findahelpline.com (International Association for Suicide Prevention).

You are not alone, and help is available. Do not rely on the App in any emergency.


2. Eligibility and Acceptance

To use the App, you must be at least 16 years of age (or the age of digital consent in your jurisdiction, if higher) and have the legal capacity to enter into a binding contract. The App is not directed to, and is not intended for, children under 16, and we do not knowingly collect personal information from them. If you are between 16 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By using the App, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and complete.


3. License Grant

Subject to your continuous compliance with these Terms, CoaCalm grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on an Apple-branded device that you own or control, solely for your own personal, non-commercial wellness use, and in accordance with the App Store Usage Rules set out in the Apple Media Services Terms and Conditions.

This is a license, not a sale. CoaCalm and its licensors retain all right, title, and interest in and to the App and the Services.


4. Acceptable Use and Restrictions

You agree that you will not, and will not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the App, except as expressly permitted by law;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the limited extent applicable law expressly permits;
  • Rent, lease, lend, sell, sublicense, distribute, transfer, or otherwise commercially exploit the App or any content within it;
  • Remove, obscure, or alter any proprietary notices (including copyright or trademark notices);
  • Circumvent, disable, or interfere with security-related features, access controls, subscription gating, or usage limits;
  • Use the App in any unlawful, fraudulent, harmful, or abusive manner, or in violation of any applicable law or regulation;
  • Use any automated means (bots, scrapers, crawlers) to access, extract, or interact with the App or its content;
  • Use the App to develop a competing product or service, or to build a similar or competitive dataset;
  • Access the App from a jurisdiction where its use is prohibited, or in violation of any export, sanctions, or embargo law.

We may suspend or terminate your access for any violation of this Section.


5. Subscriptions, Free Trial, and Auto-Renewal

CoaCalm offers premium content through auto-renewing subscriptions purchased via the Apple App Store using Apple in-app purchase (powered by Apple StoreKit). The following terms apply to all subscriptions. The price shown to you in the App at the time of purchase is the most prominent and authoritative pricing for your region and currency.

Subscription plans and free trial:

  • Title: CoaCalm Premium auto-renewing subscription.
  • Free trial: A 7-day free trial is available to eligible new subscribers. The price billed once the trial ends is the price of the plan you select.
  • Monthly plan: $9.99 per month (billed monthly).
  • Annual plan: $49.99 per year (billed annually).
  • Prices are in U.S. dollars; actual prices, currency, and applicable taxes may vary by region and are displayed in the App before you confirm your purchase.

Auto-renewal disclosures (as required by Apple):

  • Payment will be charged to your Apple ID account at confirmation of purchase.
  • Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period, at the price of the selected plan.
  • You can manage your subscription and turn off auto-renewal at any time by going to your Apple ID Account Settings in the App Store after purchase.
  • Any unused portion of a free trial period, if offered, is forfeited when you purchase a subscription.
  • Deleting the App does not cancel your subscription. You must turn off auto-renewal in your Apple ID Account Settings to stop future charges.

Subscription management and restoring purchases. All subscription management — including cancellation, plan changes, and turning off auto-renewal — is performed through your Apple ID Account Settings. The App provides a way to restore prior purchases and to sign in to access your active subscription.

Subscription processing. Purchase and subscription information (such as plan, status, and a device identifier) is processed by Adapty (our subscription-management provider) and Apple to manage your entitlements. See our Privacy Policy for details.


6. Payments and Refunds

All purchases and subscriptions are processed by Apple through your Apple ID account and are subject to Apple's Media Services Terms and Conditions. We do not collect your payment details, and we do not process, issue, approve, or deny refunds for purchases made through the Apple App Store, and we cannot grant refunds on Apple's behalf.

To request a refund, use Apple's "Report a Problem" page at https://reportaproblem.apple.com or your App Store purchase history. Refunds are granted at Apple's sole discretion in accordance with Apple's terms.

To stop future charges, turn off auto-renewal in your Apple ID Account Settings at least 24 hours before your renewal date.

If you reside in a jurisdiction that provides a statutory right of withdrawal or cancellation (such as the EU/UK), that right may apply to your purchase; because Apple is the seller/merchant of record for App Store purchases, any such request must be directed to and executed by Apple, and we cannot make a refund for purchases conducted through the Apple App Store.


7. Intellectual Property

The App and the Services, including all guided audio sessions, scripts, affirmations, text, graphics, images, user-interface designs, software, and the "CoaCalm" name, logos, and trademarks (collectively, the "Content"), are owned by CoaCalm or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

Except for the limited license expressly granted in Section 3, no rights are granted to you. You may not use the Content except as permitted by these Terms. All rights not expressly granted are reserved by CoaCalm and its licensors.


8. Your Content and Wellness Data

To personalize your experience and track your progress, the App collects information you choose to provide and generate, which may include: your email, name, and profile preferences; session history (sessions completed, durations, and timestamps); progress statistics (such as streaks and totals); your SUDS intensity ratings (subjective distress ratings from 0 to 10, recorded before and after sessions); and self-reported onboarding and wellness information (such as wellness goals, stress level, sleep quality, self-identified challenges, physical symptoms, triggers, and coping mechanisms) (collectively, "Your Content").

Your Content reflects self-reported, wellness-adjacent information that you voluntarily provide. It is not clinical, diagnostic, or medical-record data, and the App does not integrate with Apple HealthKit or collect data from it.

Ownership and license to us. You retain ownership of Your Content. You grant CoaCalm a limited, worldwide, royalty-free license to host, store, process, and use Your Content solely to operate, maintain, secure, and provide the Services to you (including personalization, progress tracking, and session recommendations), and as otherwise described in our Privacy Policy. We do not sell Your Content, and we do not use it for advertising. The App contains no advertising SDKs, no ad tracking, and no IDFA-based tracking.

Camera / live mirror.The App may use your device's front camera to display a live on-screen mirror during tapping, solely to help you position yourself visually. Camera frames are never captured, stored, transmitted, or processed by us or by any AI — the camera is used for live on-screen preview only. This feature requires your permission and can be disabled in your device settings.

Sensitive data and consent. Because Your Content may include information about your mental or emotional well-being, we treat it as sensitive personal data. We process it based on your explicit, withdrawable consent and as further described in the Privacy Policy. You are responsible for the accuracy of Your Content, and you represent that you have the right to provide it.

Your responsibility. You are responsible for retaining your own copies of any information important to you. We are not responsible for any loss, deletion, or unavailability of Your Content except as required by law.


9. Privacy

Your privacy matters. Our collection, use, storage, sharing, retention, and deletion of personal data — including how we work with our service providers Supabase (database and authentication backend), Adapty (subscription management), and Apple and Google (sign-in and payment processing) — and how you can access, correct, export, withdraw consent, request deletion of your data, and delete your account, are described in our Privacy Policy, which is incorporated into and forms part of these Terms. Please review it carefully.


10. Third-Party Services and Sign-In

The App uses Sign in with Apple and Google Sign-In for authentication, and relies on third-party providers (including Supabase, Adapty, Apple, and Google) to deliver the Services. Your use of those services may be subject to their own terms and privacy policies, and you agree to comply with any applicable third-party terms. CoaCalm is not responsible for the acts, omissions, products, or services of third parties.


11. Notifications

The App can send local reminder notifications (such as a daily wellness reminder) directly from your device. These notifications are scheduled locally and are not delivered via a push-notification server. You can enable or disable notifications at any time in your device settings. Access to App functionality is not conditioned on enabling notifications.


12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. CoaCalm AND ITS LICENSORS AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

CoaCalm does not warrant that the App will be uninterrupted, secure, error-free, or free of harmful components, that defects will be corrected, or that the App will meet your requirements or produce any particular result. No advice or information, whether oral or written, obtained from CoaCalm or through the App, creates any warranty not expressly stated in these Terms. Without limiting the foregoing, CoaCalm makes no warranty regarding any health, wellness, therapeutic, or clinical outcome (see Section 1).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CoaCalm, ITS AFFILIATES, OR ITS LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CoaCalm HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CoaCalm's TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID TO US (OR THROUGH APPLE FOR THE APP) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) FIFTY U.S. DOLLARS (US$50).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law (such as liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).


14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmlessCoaCalm and its affiliates, officers, directors, employees, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the App; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) Your Content.


15. Termination

These Terms remain in effect until terminated. You may terminate them at any time by ceasing all use of the App, deleting it from your devices, and deleting your account (and, separately, turning off auto-renewal in your Apple ID Account Settings to stop future charges).

We may suspend or terminate your access to the App or these Terms, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms or for any other lawful reason. Upon termination, the license granted in Section 3 ends and you must stop using the App. Sections that by their nature should survive termination — including Sections 1, 6, 7, 8, 12, 13, 14, 16, 17, and 19 — will survive.

Termination of these Terms does not by itself cancel or refund any subscription; subscription cancellation and refunds are handled by Apple as described in Sections 5 and 6.


16. Apple-Specific Terms

You and CoaCalm acknowledge and agree that:

  • These Terms are concluded between you and CoaCalm only, and not with Apple. CoaCalm, not Apple, is solely responsible for the App and its Content.
  • The license granted to you is a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the App Store Usage Rules.
  • Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the applicable purchase price (if any); to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are the sole responsibility of CoaCalm.
  • CoaCalm, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product-liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation.
  • In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual-property rights, CoaCalm, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms of agreement when using the App.
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflict-of-laws principles. You and CoaCalm agree to submit to the exclusive jurisdiction of the courts located in the courts of England and Wales to resolve any dispute arising out of or relating to these Terms or the App, except where prohibited by applicable law.

Nothing in this Section deprives you of the protection of mandatory consumer-protection provisions of the law of the country in which you reside, where applicable.


18. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last Updated" date above and, where appropriate, provide notice within the App. Changes are effective when posted. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.


19. General

  • Entire Agreement. These Terms, together with the Privacy Policy and the Apple LAEULA, constitute the entire agreement between you and CoaCalm regarding the App and supersede any prior agreements.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
  • Language. These Terms are drafted in English; any translation is provided for convenience, and the English version controls in case of conflict.
